Mobile App Contest | Terms and Conditions

 

  1. Introduction

MISSION: APPOSSIBLE (the “Contest”) is a joint initiative of New York University’s Stern School of Business W. R. Berkley Innovation Lab (the “Lab”) and Messapps, an app development firm. In this document, The Lab and Messapps are referred to as the “Contest organizers”.

The Contest is designed to help participants learn more about how to build and launch a business through the lens of developing a mobile application. The Contest was especially created to help provide non-technical individuals the means to bring their creative mobile app ideas to fruition.

The Lab is a program of the Stern School of Business (“Stern”) at New York University. New York University, together with its schools, divisions, units, and affiliates, including the W. R. Berkley Innovation Lab and Stern, are collectively referred to in this document as “NYU”.

  1. Eligibility

The Contest is open to the following: (a) current NYU undergraduate, graduate and post-doc students from all campuses who are enrolled on at least a half-time basis; (b) all NYU faculty; and (c) Stern alumni.

Contestants may compete as individuals or as part of a team. Teams may include non-NYU affiliated participants. However, to be eligible, all teams must be led by an NYU student, NYU faculty member or Stern alumnus with a minimum 30% stake in the venture. Additionally, the NYU or Stern team member must intend to retain a minimum of 30% ownership of the venture and remain an active member of the senior management team for at least 2 years upon conclusion of the Contest.

Contestants may submit only new concepts. Only apps which have not been previously uploaded to the App Store, Google Play or the Windows App store are eligible.

Contestants will be evaluated on concept originality, problem solved, product-solution fit, and revenue potential, among other criteria. Game concepts are not eligible to compete.

Any apps deemed to be in bad taste by the Contest organizers will not be eligible to compete. Concepts ruled indecent, defamatory, or that contain vulgar language, violence, obscenity or sexual activity are not eligible to compete. Apps cannot be used to obtain, promote or describe any illegal substances or activities.

The Contest organizers have sole and complete discretion over determining which concepts meet the established eligibility criteria.

Teams are ineligible to compete if they have received more than $50,000 in outside financing or institutional funding to develop their concept before entering or prior to completion of the Contest.

Contestants with all levels of programming and coding skills may compete. Programming and/or coding knowledge or experience is not required to enter the Contest.

Contestants may enter more than one mobile app concept in the Contest, but may not compete as a member of more than one team selected to advance to Round 2.

Submissions received after stated deadlines are not eligible to compete.

  1. Prize

The Contest winner will have the choice of receiving (a) app design and development services donated by Messapps or (b) $10,000 to be applied solely toward the further design, development and/or marketing of the winning app.

Messapps will work closely with the winning team to complete the design and development of either an iOS or Android version of the winning concept. The total amount of donated man hours, including time worked by Messapps developers, designers and management, will be limited to 500.

This prize is not transferable. Donated services from Messapps may only be used to design and develop the submitted concept for the winning team.

The Contest winner must provide Messapps with materials to begin work on their app within 45 days from the conclusion of the contest. Such materials must include clear and complete instructions regarding the app’s design as well as a full description and explanation of its intended functions in sufficient detail for the Messapps team to develop the full application. Failure to begin work within the allotted timeframe will result in forfeiture of the prize.

All members of the winning team must sign a Terms of Acceptance form to be provided by the Lab which will, among other things, set forth the conditions and requirements for work performed by Messapps.

The Contest prize is intended for applications that the judges believe can become a viable operating business.

If the winning team elects to receive a check for $10,000, those funds will only be made payable to a legally established business entity and not to an individual.

There may be tax consequences to the participants and/or their ventures associated with funds or in-kind services that may be received from NYU, The Lab or Messapps, and with any income received by a venture, which may include an obligation to report as income and to pay taxes on such amounts to federal, state, and/or local authorities. It is up to the participants to determine such tax consequences and to comply with all applicable laws in all respects.

  1. Intellectual Property

All submissions, presentations and supporting materials must be the original work of the team. Teams are responsible for ensuring that they own or have the right to use any intellectual property included in their submissions. Each team is also responsible for protecting the intellectual property of the venture, which will include having all principals, employees, paid consultants, and other involved persons sign an intellectual property assignment agreement and non-compete agreement reasonably acceptable to NYU.

Each participant represents that any materials submitted from his/her team are the original work product of such team and do not violate the copyright of any third party. Each participant further represents that, to the best of his or her knowledge, any submission by its team does not violate the trademark or any other intellectual property right or right of privacy or publicity of any third party.

Contestants will retain ownership of the intellectual property rights to their submissions. However, Contest organizers will maintain the right to: (a) post submissions on the Contest site (b) make submissions viewable for the course of the Contest and 12 months after the conclusion of the Contest; and (c) use submitted materials for marketing and promoting the Contest, Messapps or NYU.

Contestants will own all intellectual property rights to design and development work performed by Messapps for that respective contestant related to the team’s Contest submission.

The winner will own all intellectual property rights to design and development work performed by Messapps as part of the prize agreement.

  1. Publicity

The Contest includes a “People’s Choice Award”, based on votes cast by the NYU community and the general public. Teams must agree to post descriptions of their concepts along with their wireframes for the People’s Choice voting process.

Each participant agrees that NYU or Messapps may use such participant’s name, likeness, biographical information, app screenshots, videos, and project information in any and all media for marketing, publicity, and advertising purposes in connection with the Contest and other activities at NYU.

The Contest winner agrees to acknowledge Messapps and the NYU Stern W. R. Berkley Innovation Lab somewhere in the app (e.g., credits, info screen or landing page).

Each participant agrees not to use any name, logo, or trademark of NYU or Messapps without the prior written approval of the Contest organizers.

 

  1. Entry Conditions and Release

By entering contestants agree to the following conditions and release:

NYU and Messapps are not, for legal or other purposes, a partner, joint venturer, principal, agent, manager, director, shareholder, or member of any participant or venture. Neither NYU nor Messapps or any employee or contractor of NYU or Messapps have any right, power, or authority to make decisions for or to bind legally any participant or venture, or to control any of the activities, business, or affairs of any participant or venture. Participants are solely and exclusively responsible for their own conduct, acts, or omissions and for the management and control of their venture and its activities.

Participants are solely responsible for consulting with qualified professionals and investigating, understanding, and complying with any and all federal, state, and local laws and regulations that may apply to their ventures and the activities in which such ventures may engage.

The Contest organizers do not provide legal or tax advice to the participants or their ventures. Any guidance provided by the Lab or Messapps in connection with the Contest is general in nature and may not apply to the facts of a specific matter. Please confer with qualified professionals to help you determine and comply with your legal and tax obligations. Any legal advice made available in connection with the Contest is provided by third parties and Contest organizers are not responsible for the accuracy of such advice. Any such advice is not intended to create an attorney-client relationship with any participant.

Each participant releases and discharges Contest organizers and its trustees, directors, officers, employees, students, agents, and representatives from any and all liability arising out of or related to his or her participation in the Contest and the receipt or use of any prize awarded.

Submission of infringing, false, or inaccurate information or failure to comply with these official rules will result in disqualification. Disqualification of any team member will result in disqualification of the entire team.

Each participant agrees to be bound by the decisions of Contest organizers, which shall be final, binding and conclusive on all matters.

Each participant agrees to indemnify and hold harmless Contest organizers and its trustees, directors, officers, employees, students, agents, and representatives from and against any and all claims, demands, suits, proceedings, investigations, and any other action of any kind and any resulting loss, liability, expense, damage, settlement, judgment, interest, or penalty of any kind, including court costs and reasonable attorneys’ fees, resulting from or arising out of the acts or omissions of such participant or any director, officer, employee, agent, or representative of such participant’s venture, in each case in connection with the Contest or the receipt or use of any prize from Contest organizers.

Signature required: All venture concepts must be submitted to the Berkley Center with a signed Eligibility Statement that certifies adherence to these eligibility criteria and to the Competition Rules set forth below.
